In a pre-Super Bowl interview just a few days into his presidency in 2009, Obama correctly predicted a Pittsburgh Steelers win over the Arizona Cardinals.

But, facing re-election, Obama said he wasn't picking sides this time.

Earlier in the day, Obama said on Twitter that he was looking forward to game but wished his hometown team, the Chicago Bears, "weren't watching it from home, too."

SEC Filings Warn RAM Energy Resources Shareholders Of Significant Dilution This Week

On 22 December RAM Energy Resources (RAM) announced a highly dilutive capital raising.

Since that date, RAM shares have soared from an intraday low of $1.65 to an intraday high of $4.13 on 19 January. Although shares have since retreated to a closing price of $3.82 on 3 February, they remain at a level more than triple the capital-raising price of $1.25.

This article reviews the transaction details, including the substantial dilution that will be imposed upon shareholders as early as Wednesday 8 February. RAM shares are significantly overvalued given the dilution caused by the capital raising.

Transaction details

RAM will receive $550 million from Halcon Resources LLC, in exchange for:

• 220 million shares of common stock at $1.25 per share
• $275 million senior convertible note, convertible into common stock at $1.50 per share after 2 years (275 / 1.50 = 183.33 million shares)
• warrants to purchase another 110 million shares of common stock at $1.50 (exercisable after 5 years)

RAM currently has 78.809 million shares outstanding.

The following table outlines the increases to the company's share count following the three components of the Halcon transaction:

482.142 million * 3.82 = $1,841 million upon closing of the transaction.

As the company warned about this dilution in its information statement:

"Our stockholders will experience substantial dilution. The consummation of the Halcon transaction will have an immediate dilutive effect on the ownership interests and voting power of our existing stockholders."

and

"Conversion of the note into common stock or exercise of the warrants will further dilute the ownership interests and voting rights of existing stockholders."

and

"The warrants and the conversion rights under the note could result in significant "market overhang" which could restrain or limit increases in the market value of our stock."

Benefits of transaction

As a result of the transaction, RAM will change its name to Halcon Resources Corporation, and Floyd C Wilson will become CEO of renamed company. Wilson has had success previously at Petrohawk Energy (HK), and RAM will benefit from his expertise.

Excessive "Floyd Wilson premium"

However at a share price of $3.82 the market is placing an extreme "Floyd Wilson premium" on RAM shares. As the company warned:

"We may not be able to profitably deploy the funds that we will receive."

and

"Our growth and profitability will be largely dependent upon our ability to deploy the $550.0 million in new capital that we will receive."

RAM published pro forma financial statements to demonstrate the effects of the transaction on the company.

Yet for this increased valuation, shareholders will only receive a company whose assets are largely $327.6 million in cash and $203.8 million in oil and gas properties.

Assuming that the warrants will be exercised, we then have a pro-forma market capitalisation of 592.142 million * 3.82 = $2,261.98 million, for a company with $492.6 million in cash (increase of $165 million warrant proceeds) and $203.8 million in oil and gas properties.

Rather than continuing to describe the excessive valuation placed on the company, we encourage readers to review the company's information statement for further descriptions of the valuation placed on the company by Jeffries in its advice to RAM. The company also describes in detail the risks associated with the dilution that is a result of the capital raising.

RAM is trading at an extremely high "Floyd Wilson premium." While we understand that he has been successful in previous oil and gas ventures, a pro-forma market capitalisation of $2,261 million for the company is excessive. Until shareholders (whose number will rise from 78.8 million to 592.1 million pro-forma) can see that the cash infusion has been used to generate substantial profits, there seems to be little reason for the stock to trade this far above the capital raising prices of $1.25 and $1.50.

PHNOM PENH, Cambodia ? The Khmer Rouge tribunal's Supreme Court on Friday ordered the regime's chief jailer to serve out the rest of his life in prison because of his "shocking and heinous" crimes against the Cambodian people.

The surprise ruling increased a lower court's 19-year sentence that had been appealed by prosecutors as too lenient and that had outraged survivors who feared the man who oversaw the killing of thousands could one day walk free.

Kaing Guek Eav, known as Duch, was commander of the top secret Tuol Sleng prison ? code-named S-21. He admitted to overseeing the torture of his prisoners before sending them for execution at the "killing fields."

In July 2010, the tribunal's lower court convicted Duch (pronounced DOIK) of war crimes, crimes against humanity, torture and murder.

He was sentenced to 35 years in prison but had 11 years shaved off for time served and other technicalities.

The sentence was appealed both by prosecutors, who called for life imprisonment, and by Duch, who argued it was too harsh because he was merely following orders.

However, the judge said Friday that the upper court felt the penalty should be more severe because the former jailer was responsible for the brutal deaths of so many.

"The crimes of Kaing Guek Eav were of a particularly shocking and heinous character based on the number of people who were proven to have been killed," the judge said. The tribunal says Duch oversaw the deaths of at least 12,272 victims but estimates have placed the number as high as 16,000.

The Supreme Court said that the high number of deaths that Duch was responsible for and the extended period of time over which they were committed from 1975-1979 "undoubtedly place this case among the gravest before international criminal tribunals."

Duch trained, ordered and supervised his staff to conduct "systematic torture and execution of prisoners" and he showed "dedication to refining the operations of S-21, which was the factory of death," the court said in a separate printed statement.

The 69-year-old Duch stood calmly without emotion as the sentence was read.

He then pressed his palms together and pulled them to his chest in a show of respect to the judge, before being led away by court guards. The ruling was final with no other chance for appeal.

Prosecutors called the ruling a long-awaited victory.

"We can say that justice has now been served after more than 30 years," Chea Leang said. "To us and to the victims, this is a great success."

The tribunal is seeking justice for an estimated 1.7 million people who died from torture, starvation, exhaustion or lack of medical care during the Khmer Rouge's 1970s rule.

Three senior Khmer Rouge figures are currently on trial in what is known as Case 002. Unlike Duch, who admitted his role and asked for forgiveness, the others claim no wrongdoing.

They are 85-year-old Nuon Chea, the Khmer Rouge's chief ideologist and No. 2 leader; 80-year-old Khieu Samphan, an ex-head of state; and 86-year-old Ieng Sary, the former foreign minister. They are accused of crimes against humanity, genocide, religious persecution, homicide and torture.

U.S. refinery strike rift grows ahead of deadline (Reuters)

(Reuters) ? Union and oil company negotiators resumed talks on Monday after union leaders told workers to prepare for a strike within 48 hours that could shut down 6 percent of U.S. refinery capacity and cause gasoline prices to rise at a time when the country is struggling to sustain a fragile economic recovery.

A strike by the United Steelworkers union could start as early as 12:01 a.m. EST (0501 GMT) on Wednesday on the East Coast and then spread throughout the country.

USW members are hourly employees at about two-thirds of U.S. refining capacity, but only about half of those workers would go on strike on Wednesday, when their contracts expire.

More workers would walk off their jobs when contracts at their refineries expire.

Most refiners have made plans to use temporary replacement workers to keep their refineries operating during a strike.

Oil companies used temporary workers, mostly salaried supervisors and engineers, to keep their refineries operating in the last nationwide strike by refinery workers in 1980.

A strike would likely bolster gasoline crack spreads for refiners, J.P. Morgan said in a research note issued Monday.

"The spate of refinery outages seen on the U.S. East Coast has bolstered gasoline and distillate cracks in the past week," the J.P. Morgan note read. "Further disruptions to refinery throughputs would offer additional support to cracks."

A crack spread is the difference between the cost of oil and the price refiners charge for motor fuel.

Over the weekend, USW negotiators sounded a pessimistic note, warning members that without a "more substantive response from the industry" a strike may be necessary.

The USW also notified members to begin preparations to offer a safe, orderly shutdown of refineries in the event of a strike.

Most refiners are expected to reject such a shutdown offer and begin assigning replacement workers to run refinery production units.

In the Monday note, J.P. Morgan said "the notification of members may be seen by some as a bargaining tactic."

For its part, lead oil company negotiator Shell Oil Co said on Sunday it was "optimistic that a mutually satisfactory agreement can be negotiated with the USW."

Talks for a new contract began January 17 and continued into Sunday night.

While the strike deadline is Wednesday, the Steelworkers negotiators can extend it if they think progress is being made. In 2009, talks were extended three days to reach an agreement.

Shell Oil Co is the U.S. unit of Royal Dutch Shell Plc.
